Terms of Service

Last updated: October 5, 2026

1. Definitions

Headliner, we, us or our
Earth to Heaven LLC, a Texas limited liability company operating as Headliner. Headliner Studios is a brand of Earth to Heaven LLC.
Services
Headliner's websites, event websites, ticketing tools, registration and payment support, marketing, and separately agreed consulting. These terms cover headliner.studio, projecth.party, stoplight.party and other websites operated by Headliner that link to these terms.
Host
The person or organization responsible for organizing and operating an Event. Headliner is a Host only when it is expressly identified as the organizer of that Event.
Event
A party, gathering or other experience listed or supported through the Services.
Attendee
A person who registers for, buys or holds a Ticket for, or attends an Event. Purchase obligations also apply to a person buying on an Attendee's behalf.
Ticket
A confirmation of a right to admission to a specified Event, subject to its stated conditions. A demo ticket is a simulation and grants no admission; a mailing-list signup is not a Ticket.
Host Agreement
The separate agreement between Headliner and a Host setting the scope, fees and responsibilities for an Event or engagement.

2. Scope and use of the Services

These terms govern use of the Services. Event-specific terms and any Host Agreement also apply to the activity they cover. A Host Agreement controls conflicting commercial terms between Headliner and that Host; it does not remove an Attendee's rights under applicable law or our Refund & Cancellation Policy. Use the Services lawfully, provide accurate information, and do not misuse accounts, interfere with the Services or attempt unauthorized access.

3. Host terms and agreed rates

Rates are agreed with the Host when setting up each Event, before the engagement begins. The Host Agreement sets out website and ticketing scope, service and transaction fees, payment-processing costs, optional consulting, support, and any applicable settlement, refund and chargeback responsibilities. An inquiry or quote request does not book a service, lock in a rate or establish a payout schedule. The Host absorbs Headliner ticketing fees; buyers are not charged a separate Headliner service fee. Commercial charges remain governed by the Host Agreement.

The Host is responsible for accurate Event information, the venue, permissions and permits, insurance where required, security, safety, staffing, capacity, age and ID checks, accessibility obligations, compliance with alcohol laws and every other applicable rule in its jurisdiction, including university, IFC and national organization rules. The Host must have the rights and permissions needed for content and attendee information it supplies to Headliner.

4. Attendee terms and Event responsibility

For an Event organized by another Host, Headliner is the ticketing and website provider, not the Event organizer. Providing that infrastructure does not make Headliner the Event organizer, venue operator or guarantor of the Host's conduct. The Host is responsible for producing and running the Event; each Attendee is responsible for their own conduct and compliance with lawful admission requirements, venue rules and instructions. A Ticket does not permit unsafe, unlawful or abusive behavior.

Review the named Host, age restrictions, admission conditions, ticket details and cancellation or refund terms before registering or buying. If an Event is canceled, ticket buyers receive a full refund to the original payment method under our Refund & Cancellation Policy. All ticket sales are final. Buyers cannot cancel or refund a Ticket on their own. Not attending or changing your mind is not grounds for a refund. Tickets carry over if a new date is within 60 days of the original and the venue stays in the same metro area. Other reschedules, including a postponement without a qualifying replacement date, are treated as cancellation, with full refunds including sales tax. These rules remain subject to non-waivable rights under applicable law. Admission follows the Event's lawful disclosed conditions. Buying a Ticket does not guarantee that an Event will proceed unchanged or that an Attendee who fails its stated admission requirements will be admitted. An RSVP applies only to the named Event and the registration status shown in its signup flow.

The displayed ticket price includes Headliner and card processing fees. Sales tax is the only amount added at checkout and is shown separately before you pay.

Chargebacks without a proper legal basis are prohibited, including disputing a ticket for an event that took place because you did not attend. Headliner investigates chargebacks and contests unfounded ones under applicable law using purchase and check-in records. Nothing here prevents a lawful dispute or limits mandatory consumer rights.

5. Liability and disclaimer of warranties

To the fullest extent permitted by applicable law, Headliner disclaims responsibility and liability for Events operated by other Hosts, including their acts or omissions, Event conditions, injuries, property loss and disputes between Hosts and Attendees. Responsibility for Event operations remains with the Host, and responsibility for an Attendee's own actions remains with that Attendee. Contact the Host about Event operations or admission issues; contact Headliner about the ticketing Services.

Except for express commitments in these terms, our Refund & Cancellation Policy or a Host Agreement, and to the extent permitted by law, the Services are provided “as is” and “as available,” without implied warranties of merchantability, fitness for a particular purpose or non-infringement. We do not guarantee uninterrupted or error-free service, attendance, ticket sales, savings or profit. To the extent permitted by law, Headliner is not liable for indirect, incidental, special or consequential losses, including lost profits, arising from use of the Services.

These terms do not exclude liability that cannot lawfully be excluded, waive mandatory consumer rights, or excuse Headliner's fraud, gross negligence or willful misconduct. They do not shift responsibility for Headliner's own acts or omissions to a Host or Attendee. If Headliner organizes an Event, the provisions describing it solely as a third-party ticketing provider do not apply to its role as that Event's Host. Nothing in this liability section limits our cancellation or postponement refund commitments in the Refund & Cancellation Policy.

6. Demonstrations, Stripe and Link

Experiences labeled as demos use simulated checkout or Stripe test mode when available. No real payment is collected, and demo tickets are not valid for entry. Use only test payment details in Stripe test checkout. Illustrative dates, designs and ticket choices do not announce an Event or establish availability. Email receipt delivery is disabled by default and requires separately verified sandbox configuration and a configured allowlist. Text ticket delivery is not enabled. A ticket recovery acknowledgement does not confirm a matching purchase or inbox delivery.

Where offered in checkout, Link is an optional service provided by Stripe for saving and reusing payment information. If you choose Link, your Link account and use of that service are governed by the Link Consumer Terms of Service and Link Privacy Policy. Using Link does not change our cancellation or postponement refund commitments or expand your text-message consent. Our Privacy Policy explains the information handled by Headliner and Stripe.

7. Attendee records and communication choices

Headliner retains attendee names, emails, phone numbers, ticket history and check-in records. For purchases made under this notice, Headliner may email you about future events from the same Host, other participating Hosts and Headliner itself. You can unsubscribe from marketing emails at any time using the link in each message or our communication preferences page.

Texts about event updates and future Headliner events require the single optional, unchecked SMS box at checkout. Consent is not required to buy. Providing a phone number or accepting these terms does not authorize texts. Message frequency varies; message and data rates may apply. Reply STOP to opt out of all Headliner texts across the network. No SMS delivery is currently enabled.

Critical cancellation, time and venue changes always go to every buyer by email, independent of marketing unsubscribe or SMS consent. A Host receives attendee records only for its own events and must respect applicable law and recorded opt-outs; other Hosts never receive its attendee list. Headliner retains the shared network. Our Privacy Policy explains these uses and choices. This notice does not retroactively enroll historical purchases or change their recorded consent.

8. Website analytics

This website and other websites operated by Headliner may use Vercel Web Analytics and Speed Insights to understand site usage and performance. Our Privacy Policy explains the information involved and where these tools are used.

9. Updates and contact

We may update these terms and will show the revised date on this page. Material changes will be communicated where required by law; changes do not retroactively alter an agreed purchase or Host Agreement. Questions about these terms or the Services can be sent to contact@headliner.studio.
